Organization and Management Model

The IFI Group is convinced that ethics in the conduct of business promotes the success of every work activity, helping to spread an imprint of reliability, correctness and transparency in the activities carried out to achieve the objectives. For this reason, IFI deems it necessary to remind its customers, suppliers, employees and all the entities with which it collaborates to observe the fundamental principles of correctness, in order to create a common culture within the Group.

Brief description of the 231 Organizational Model

General principles

Legislative Decree 8 June 2001 n.231 "Discipline of the administrative liability of legal persons, companies and associations even without legal personality", introduced into the Italian legal system a system of administrative liability of the company for certain crimes committed by directors, managers and employees, in the interest or to the advantage of the company itself.

Corporate liability can be excluded if the Company demonstrates that it has adopted and effectively implemented an Organisation, management and control Model suitable for preventing the commission of the criminal offenses considered, with specific protocols for the implementation of decisions.

Adoption of the Organizational Model

Since 2020, IFI srl has adopted its own Organizational Model, with the aim of building a structured and organic management and control system, of guidelines, procedures, processes, characterized by criteria of efficiency, practicability and functionality, with the aim of preventing the commission of the crimes envisaged by the Decree.

The Decree provides for the exclusion of liability on the part of the Company if it demonstrates:

  • that the Board of Directors has adopted and effectively implemented, before the commission of a crime, a Model suitable for their prevention;
  • to have appointed a Supervisory Body with autonomous powers of initiative and control to monitor its implementation;
  • that the crime was committed by fraudulently evading the Model;
  • that there was insufficient control by the Supervisory Body.
Supervisory Body

In accordance with the provisions of Legislative Decree 231/01, they have appointed a Supervisory Body, with full autonomy, with initiative and control tasks, to monitor compliance with the provisions of the Organizational Model, verify their real effectiveness and evaluate the need for updates.
